TERMS OF USE

These Terms of Use ("Terms") constitute a legally binding agreement between you and Deep Prediction Inc, doing business as Rehearsals ("Rehearsals," "Company," "we," "us," or "our"). These Terms govern your access to and use of our website, platform, applications, and services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
Rehearsals provides an AI-powered platform that enables businesses to understand and predict consumer behavior. Our Services include research participation opportunities for individuals ("Participants") and business intelligence tools for organizational customers ("Business Customers"). We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.
You must be at least 18 years old to use our Services. By using our Services, you represent that you meet this requirement and that all information you provide is accurate and complete.
Certain features of our Services require registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts at our discretion.
If you participate in our research activities, the following additional terms apply:
Compensation. Participants may receive compensation as specified at the time of participation. Compensation is contingent upon completing the research activity in good faith and providing accurate information.
License Grant. In exchange for compensation, you grant Rehearsals a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, create derivative works from, and otherwise exploit all content, data, and information you provide through your participation, including for the purpose of developing and operating our technology and Services. This license survives termination of these Terms.
Accuracy. You agree to provide truthful and accurate responses. Providing false or misleading information may result in forfeiture of compensation and termination of your access to the Services.
No Confidentiality. Information you provide through our research activities is not confidential. While we implement security measures to protect data, you acknowledge that insights derived from your participation may be made available to our Business Customers in accordance with our Privacy Policy.
If you access our Services as a Business Customer, the following additional terms apply:
Service Agreement. Your use of the Services may be governed by a separate written agreement. In the event of any conflict between these Terms and a separate written agreement, the separate agreement controls.
Customer Data. You retain ownership of data you provide to us ("Customer Data"). You grant us a limited license to use Customer Data solely to provide the Services. You represent that you have all necessary rights to provide Customer Data and that your use of the Services complies with all applicable laws, including privacy and data protection laws.
Output. Subject to payment of applicable fees, you may use insights, reports, and other output generated through the Services ("Output") for your internal business purposes. Output may not be resold or redistributed without our prior written consent.
Accuracy Disclaimer. Output is provided for informational purposes and reflects modeled predictions based on our technology. We do not guarantee that Output will accurately predict actual consumer behavior. You are solely responsible for decisions made based on Output.
You agree not to: (a) use the Services for any unlawful purpose; (b) attempt to gain unauthorized access to our systems; (c) interfere with or disrupt the Services; (d) reverse engineer, decompile, or attempt to derive the source code of our technology; (e) use the Services to develop competing products; (f) use automated means to access the Services without authorization; (g) submit false, misleading, or fraudulent information; or (h) violate the rights of any third party.
The Services and all associated technology, content, and materials are owned by Rehearsals or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights. You may not use our trademarks, logos, or branding without prior written consent.
Feedback. If you provide suggestions, ideas, or feedback regarding the Services, you grant us the right to use such feedback without restriction or compensation.
Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and sharing of information as described in our Privacy Policy.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO REPRESENTATIONS REGARDING THE ACCURACY OR RELIABILITY OF ANY OUTPUT OR RESULTS OBTAINED THROUGH THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REHEARSALS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
TO THE EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless Rehearsals and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content or data you provide through the Services.
Arbitration Agreement. You and Rehearsals agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, or another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
Class Action Waiver. YOU AND REHEARSALS AGREE THAT DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding.
Exceptions. Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
Opt-Out. You may opt out of this arbitration agreement by sending written notice to legal@runrehearsals.com within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in Delaware.
These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination shall survive, including Sections 5 (License Grant), 8, 10, 11, 12, 13, and 14.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date or through other appropriate means. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
Entire Agreement. These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Rehearsals regarding the Services.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.
Waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
